Terms of service
Last updated: September 13, 2026
These Terms & Conditions (“Terms”) govern access to and use of gullyngully.com (the “Website”) and purchases, sourcing requests, wholesale inquiries, quotations, and other transactions with GULLY & GULLY TRADERS INC. (“Gully & Gully,” “we,” “us,” or “our”). By using the Website, placing an order, submitting a sourcing or wholesale request, accepting a quotation, or otherwise purchasing products or services from us, you agree to these Terms and any additional terms expressly provided for the applicable transaction.
If mandatory law gives you rights that cannot legally be excluded or limited, those rights continue to apply and prevail over any inconsistent provision of these Terms.

2. Website Retail Orders
Products offered for direct purchase through the Website are subject to availability. Product descriptions, photographs, dimensions, weights, colours, packaging, materials, and other specifications are provided for general information. Natural, handmade, agricultural, mineral, or supplier-produced products may reasonably vary in appearance, colour, size, texture, weight, packaging, or other non-material characteristics.
We may correct errors in product information, pricing, promotions, availability, or other Website content. If an error materially affects an order already submitted, we will contact you and take any action required by applicable law.
3. Sourcing and Wholesale Requests
The Website may allow customers and businesses to request product sourcing, wholesale pricing, custom products, private-label products, bulk quantities, supplier identification, manufacturing, procurement, or related services.
Submitting a sourcing or wholesale request is an inquiry only. It is not an accepted purchase order, does not reserve inventory or production capacity, and does not obligate GULLY & GULLY TRADERS INC. to locate, manufacture, purchase, import, export, or supply any product.
We may accept, decline, or request additional information about a sourcing request. We may also determine that a requested product, specification, quantity, destination, timeline, or commercial arrangement is not feasible or appropriate.
4. Quotations
A sourcing or wholesale quotation may state product specifications, quantities, unit prices, minimum order quantities, samples, tooling or setup charges, packaging, branding, payment terms, estimated production or procurement time, shipping or freight terms, taxes, duties, currency, quotation validity, and other transaction-specific conditions.
Unless the quotation expressly states otherwise, a quotation is an invitation to proceed on the stated terms and is not a guarantee of supply. Prices and availability may change after the quotation validity period expires.
If a quotation, invoice, purchase order acknowledgement, or written order confirmation contains transaction-specific terms that conflict with these general Terms, the transaction-specific terms will govern that transaction to the extent of the conflict, except where prohibited by law.
5. Order Confirmation
A sourcing, wholesale, custom, or special order becomes confirmed only when we expressly confirm acceptance in writing and any required deposit, advance payment, or other agreed payment condition has been satisfied. A customer purchase order by itself does not constitute our acceptance unless we confirm it in writing.
Once confirmed, custom, specially sourced, private-label, made-to-order, manufactured-to-order, or wholesale orders may be subject to cancellation restrictions described in the quotation, order confirmation, and Return & Refund Policy.
6. Customer Specifications and Approvals
The customer is responsible for providing complete and accurate requirements, including specifications, dimensions, materials, quantities, artwork, labels, packaging, certifications, destination requirements, and intended use where relevant.
Where we provide a sample, proof, artwork, specification sheet, photograph, packaging layout, or other item for approval, the customer is responsible for reviewing it carefully before approval. We may rely on the customer's written approval when proceeding with procurement or production.
Changes requested after approval or order confirmation may result in additional charges, revised minimum quantities, or revised timelines and may not always be possible.
7. Third-Party Suppliers and Manufacturers
We may source products from, or arrange production through, independent manufacturers, suppliers, distributors, freight providers, customs brokers, warehouses, and other third parties in Canada or other countries. Customers acknowledge that third-party suppliers may be involved in fulfilling sourcing and wholesale orders.
We will use commercially reasonable efforts to coordinate the transaction, but supplier availability, raw-material availability, production capacity, transportation, customs, inspections, regulatory actions, and other matters outside our reasonable control may affect price, timing, or availability.
8. Samples
Samples may be subject to product, customization, tooling, handling, and shipping charges. Unless we agree otherwise in writing, sample approval does not guarantee that mass-produced goods will be identical in every immaterial respect to the sample, particularly where products contain natural materials or are handmade. Material specifications expressly approved by the customer remain subject to the applicable quotation and order confirmation.
9. Prices, Currency, Taxes, Duties and Charges
Website prices and quotation prices are shown in the currency indicated at checkout or in the applicable quotation. Taxes, shipping, freight, insurance, customs duties, brokerage, import charges, bank charges, currency-conversion charges, and other costs may be additional unless expressly stated as included.
The customer is responsible for taxes, duties, import requirements, permits, licences, brokerage fees, or similar charges assigned to the customer under the applicable transaction terms or by law.
10. Payment
Payment methods and payment schedules will be displayed at checkout or stated in the applicable quotation, invoice, or order confirmation. We may require full payment or a deposit before purchasing materials, placing an order with a supplier, beginning production, or shipping goods.
Where a balance is due before shipment or release of goods, we are not required to ship or release the goods until cleared payment has been received.
Deposits or advance payments for custom, specially sourced, private-label, made-to-order, or wholesale orders may become non-refundable after we incur supplier, manufacturing, tooling, material, freight, or other committed costs, subject to mandatory applicable law and the transaction-specific terms disclosed before confirmation.
11. Shipping, Delivery and Risk
Shipping and delivery are governed by our Shipping Policy and any transaction-specific shipping terms in the applicable quotation or order confirmation.
Delivery dates for sourcing and wholesale transactions are estimates unless we expressly agree in writing that a specific date is guaranteed. Production, freight, customs, inspections, weather, carrier delays, supplier delays, port congestion, strikes, government actions, and other circumstances may affect delivery.
Any allocation of shipping responsibility, insurance, title, or risk stated in a quotation or written order confirmation will apply to that transaction, subject to mandatory law.
12. Inspection, Defects and Claims
Customers should inspect delivered goods promptly. Claims involving shortage, incorrect goods, visible damage, or an alleged defect must be reported within the timeframe stated in the Return & Refund Policy or, for a sourcing/wholesale transaction, the timeframe stated in the quotation or order confirmation.
We may request photographs, video, packaging, labels, batch information, samples, inspection reports, or other reasonable evidence to evaluate a claim. Nothing in this section limits rights or remedies that cannot legally be waived.
13. Returns, Refunds and Cancellations
Returns, refunds, exchanges, and cancellations are governed by our Return & Refund Policy and any transaction-specific terms agreed before a sourcing, wholesale, or custom order is confirmed.
Retail return rules do not automatically apply to custom, specially sourced, private-label, made-to-order, manufactured-to-order, or wholesale orders.
14. Prohibited or Restricted Requests
We may refuse requests involving products that are illegal, unsafe, counterfeit, infringing, sanctioned, restricted, improperly labelled, or otherwise inconsistent with applicable law, carrier rules, payment-provider requirements, Shopify requirements, or our business policies. We may request documentation reasonably necessary to assess a product or transaction.
15. Intellectual Property and Customer Materials
The Website and its original content, branding, text, graphics, logos, and other materials are owned by or licensed to GULLY & GULLY TRADERS INC. and may not be copied, reproduced, or used except as permitted by law or with our written permission.
If a customer provides trademarks, logos, artwork, packaging designs, photographs, specifications, or other materials for a custom or private-label order, the customer represents that it has the rights and permissions necessary for us and our suppliers to use those materials for the transaction. The customer is responsible for claims arising from materials it supplied, except to the extent caused by our unauthorized use.
16. Product Compliance and Intended Use
Unless expressly agreed in writing, the customer is responsible for determining whether a sourced or wholesale product is suitable for the customer's intended use and whether the product, packaging, labelling, importation, resale, or distribution meets requirements applicable to the customer's market or intended use.
Where we expressly agree to obtain specified certifications, testing, documents, or compliance requirements, those requirements will be identified in the quotation or order confirmation.
17. Website Use
You must not misuse the Website, interfere with its operation or security, attempt unauthorized access, submit fraudulent information, use the Website for unlawful activity, or infringe the rights of GULLY & GULLY TRADERS INC. or any third party.
18. Disclaimer and Limitation of Liability
To the maximum extent permitted by applicable law, the Website and its content are provided on an “as available” basis. We do not guarantee that the Website will always be uninterrupted or error-free.
To the maximum extent permitted by applicable law, GULLY & GULLY TRADERS INC. will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses arising from a transaction, including loss of profit, revenue, business opportunity, goodwill, or anticipated savings, except where such exclusion is prohibited by law.
For business-to-business sourcing and wholesale transactions, and to the maximum extent permitted by applicable law, our aggregate liability arising from a particular order will not exceed the amount actually paid to us for the portion of that order giving rise to the claim. This limitation does not apply where liability cannot legally be limited or excluded.
19. Events Outside Our Reasonable Control
We are not responsible for delay or failure caused by events outside our reasonable control, including natural disasters, severe weather, fire, flood, epidemic or pandemic effects, war, terrorism, civil unrest, strikes, port or carrier disruption, shortages, supplier shutdowns, customs delays, government action, embargoes, sanctions, power failures, or major telecommunications or technology failures. We will take reasonable steps to communicate material impacts and, where applicable, perform our obligations when reasonably possible.
20. Privacy
Personal information is handled in accordance with our Privacy Policy. Information submitted through sourcing and wholesale forms may be used to evaluate requests, communicate with customers, obtain supplier or logistics information, prepare quotations, administer orders, prevent fraud, and meet legal or regulatory requirements.
21. Electronic Communications
By contacting us electronically, you agree that transaction-related communications may be provided electronically. Marketing communications will be sent in accordance with applicable consent requirements, and recipients may unsubscribe using the method provided in the message.
22. Changes to These Terms
We may update these Terms from time to time. The version posted on the Website will state the date of the latest update. Changes will apply prospectively unless applicable law requires otherwise. Terms applicable to a confirmed transaction will not be changed retroactively merely by updating the Website.
23. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles, except where mandatory consumer law requires another law or forum to apply.
Subject to mandatory applicable law, disputes arising from these Terms or transactions with us will be submitted to the courts of Ontario having jurisdiction.
24. Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue to apply to the fullest extent permitted by law.
